Terms of Agreement for Search Firm Services:

 

DCA Professional Search (DCA) and Client hereby enter into this agreement whereby DCA shall serve as a search firm to conduct a thorough candidate search for various positions within the client organization. "Candidate" means a person referred to client by DCA, directly or indirectly. "Refer" means the disclosure by DCA of the identity of a candidate by any means, orally or in writing.

DCA fee is based on a contingency basis and is payable only if a candidate enters into a service relationship with client or client affiliation within one year after the most recent communication relating to the candidate. "Service relationship" means client's engagement of the services of the candidate in any capacity, including as an employee, independent contractor, consultant , or other representative. "First year's compensation" means a reasonable estimate of all compensation expected to be earned by the candidate during the first year of the service relationship, including wages, salary, draw, fees, commissions, bonuses, and incentives. It is to be determined as of the time when the service relationship is to begin, and would not be increased or decreased thereafter.

If the service relationship between client and candidate is terminated for any reason before the 90th calendar day after its start, DCA will replace the candidate, provided written notice of the termination and reasons for the termination is given within 5 business days after termination, and the fees were paid when due. This guarantee is not applicable if the service relationship is terminated because the position is eliminated or because of insufficient work for the candidate.

The service fee, which will be invoiced when client and candidate agree to enter into the service relationship, will be due in full within 10 days after the date of invoice.

If collection activities should become necessary, the fee would be adjusted to include any related expenses, such as reasonable attorney's fees. Because DCA will be performing its services in the State of
Texas, its laws would be applicable to the relationship between DCA and Client, and its courts would have jurisdiction over both.

The candidates will be referred to client in confidence and client shall not refer or identify them to any other company. Should client do so, and the other company enters into a service relationship with the candidate, both companies would be responsible for the payment of the service fee.

DCA does not discriminate in the acceptance or referral of candidates on the basis of race, color, religion, sex, age, national origin, marital status, disability, or other protected characteristic.
